Rather than building from scratch, licensees gain immediate access to a proven system — including curriculum, branding, certifications, operational frameworks, and ongoing support. License Types Available License Type Description Certified Facilitator License One individual certified to deliver the Do the Thing program within a defined capacity Organizational License An entire organization or location licensed to deliver the program using approved internal facilitators Regional Partner License Exclusive geographic territory with rights to develop partnerships, recruit facilitators, and market regionally Master Trainer License Authorized to train and certify additional facilitators; available by invitation and performance criteria Intellectual Property — Who Owns What Clarity around intellectual property is foundational to this license. These terms are binding upon execution of the Master License Agreement and supersede any prior discussions or informal communications. A $250 finance fee applies. Royalty Structure Royalties are assessed on gross revenue generated through the licensed program and are due monthly within 15 days of the close of each calendar month. Every licensed facilitator must complete and maintain certification to legally deliver the program. This section outlines the complete process from initial training through ongoing recertification. Page 13 Master Trainer License Master Trainer certification program — separate credentialing process Ongoing Education Requirements All certified facilitators must fulfill the following continuing education obligations to maintain active certification status. • Annual recertification module (available online) — 4 contact hours • Participation in a minimum of four (4) monthly Licensee Strategy Calls per year • Completion of any required curriculum updates within 60 days of release • Attendance at the Do the Thing National Summit (strongly encouraged; required every 3 years) Program Delivery Requirements The following standards apply to every delivery of the Do the Thing program, without exception. Course Structure • Minimum program length: 12 hours of facilitated content (may be split across multiple sessions) • Maximum cohort size: 30 participants per session • All 12 modules must be included in their complete form — no content may be omitted • All participants must receive official student workbooks from approved supplier Branding Standards • Do the Thing branding must appear on all participant-facing materials • Licensee's business name may appear in co-branded format per approved templates • Unauthorized logo modification, color alteration, or brand deviation is prohibited • All marketing materials must be submitted for approval before first use Evaluation & Certification Procedures • Participant evaluations must be collected at the close of every program • Certifications may only be issued through the Do the Thing official certification portal • Certificates must not be issued to participants who did not meet minimum attendance requirements (80%)

Page 15 PART IV — OPERATIONS & COMPLIANCE Quality Control, Reporting & Compliance Standards The Do the Thing brand is built on measurable quality and consistent delivery. Every licensee is a steward of that reputation. This section defines the compliance framework that protects both you and the integrity of the certification ecosystem you have joined. Reporting Requirements All licensees must submit monthly reports using the Do the Thing Licensee Reporting Template (included in your digital asset folder). Reports are due by the 15th of each following month. Monthly Report Includes: • Number of participants trained during the reporting period • Gross revenue generated from licensed program delivery • Industries and organizations served • Participant satisfaction scores (aggregate) • Number of certifications issued • Active marketing activities during the period Quality Control Oversight Do the Thing reserves the right to conduct the following quality oversight activities throughout the term of the license. Written notice of deficiency issued by Licensor 2. Licensee has 30 days to submit a written Corrective Action Plan 3. If the Corrective Action Plan is approved, a 90-day probation period begins 4. If standards are not met within the probation period, license may be suspended or terminated 5. Licensee may appeal a termination decision in writing within 15 days Insurance Requirements

The following framework governs how territory works within the Do the Thing program. Types of Territory • Geographic Territory — defined by city, county, state, or multi-state region as specified in your agreement • Industry Territory — exclusivity within a defined vertical (e.g., healthcare, law enforcement, nonprofits) • Combined Territory — geographic and industry exclusivity may be combined for Regional Partner licenses What Exclusivity Means

Page 20 Regional exclusivity means Do the Thing will not license another partner within your protected territory for the same delivery scope while your agreement is active and you are in compliance with all performance requirements. Reserved Rights of Do the Thing Even within exclusive territories, Do the Thing retains the following rights: • Delivery of virtual/online programs to participants anywhere, including your territory • Service of national and multi-state accounts directly • Development of new programs and program tiers at any time • Establishment of strategic partnerships at the national level Performance-Based Exclusivity Exclusivity is earned through ongoing compliance and performance. Failure to meet minimum performance standards may result in modification or loss of exclusive territory status with 30 days written notice. Territory Expansion High-performing licensees may apply for additional territories after 12 months of active, compliant operation. Expansion is subject to availability, performance review, and execution of a Territory Addendum Agreement.

Page 21 PART VI — LEGAL AGREEMENTS (6 Agreements) Agreement 1 of 5: Master License Agreement DO THE THING LICENSE PROGRAM MASTER LICENSE AGREEMENT This Master License Agreement ("Agreement") is entered into as of the date of last signature below ("Effective Date") by and between: LICENSOR: Do the Thing License Program ("Licensor"), a legally organized business entity duly authorized to enter into agreements of this nature. Page 22 WHEREAS, Licensee desires to obtain a license to deliver the Program within the scope defined herein; WHEREAS, Licensor is willing to grant such a license subject to the terms and conditions set forth in this Agreement; NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. GRANT OF LICENSE 1.1 Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a limited, non-exclusive (unless otherwise specified in the Territory Addendum), non-transferable license to use the Do the Thing Program materials for the sole purpose of delivering the Program within Licensee's authorized scope of delivery. 1.2 The license granted herein does not include the right to: (a) sublicense the Program to any third party; (b) reproduce the Program materials for distribution outside of authorized program delivery; (c) modify the core curriculum, methodology, or brand identity without prior written approval from Licensor; or (d) represent the Program under any name other than "Do the Thing" without prior written approval. 2. TERM 2.1 This Agreement shall commence on the Effective Date and shall continue for a period of three (3) years, unless earlier terminated in accordance with the terms hereof. 2.2 Following the initial term, this Agreement may be renewed on an annual basis upon Licensee's written request and payment of the applicable renewal fee, subject to Licensor's compliance review. Renewal is not automatic and is not guaranteed. 3. LICENSE FEE & ROYALTIES 3.1 Licensee shall pay Licensor the initial License Fee in the amount set forth in the License Fee Schedule attached hereto as Exhibit A, in accordance with the payment schedule elected by Licensee at the time of signing.

Page 23 3.2 In addition to the initial License Fee, Licensee shall pay Licensor a royalty equal to ten percent (10%) of gross revenue generated from the delivery of the Do the Thing Program, or alternatively, $50 per participant certified, as elected by Licensee at signing (the "Royalty Structure"). Royalties are due within fifteen (15) days of the end of each calendar month. 3.3 Licensee shall maintain complete and accurate records of all revenue generated through the Program. Licensor reserves the right to audit such records upon thirty (30) days written notice, not more than once per calendar year. 3.4 All payments past due beyond thirty (30) days shall accrue a late fee of one and one-half percent (1.5%) per month on the outstanding balance. Failure to pay within sixty (60) days of the due date shall constitute a material breach of this Agreement. 4. INTELLECTUAL PROPERTY 4.1 Licensee acknowledges that all right, title, and interest in and to the Do the Thing Program, including all curriculum, materials, trademarks, trade names, logos, certification marks, methodologies, and related intellectual property (collectively, "Licensor IP"), are and shall remain exclusively owned by Licensor. 4.2 Nothing in this Agreement shall be construed as transferring any ownership rights in the Licensor IP to Licensee. Licensee shall not register, attempt to register, or assist any third party in registering any trademark, copyright, or other intellectual property right that is confusingly similar to any element of the Licensor IP. 4.3 Licensee shall promptly notify Licensor of any actual or suspected infringement of the Licensor IP of which Licensee becomes aware. Licensor shall have the sole right (but not the obligation) to take legal action in connection with any such infringement. 5. CERTIFICATION & DELIVERY STANDARDS 5.1 Licensee agrees to comply fully with all certification requirements, delivery standards, and quality control procedures set forth in this Agreement, the Compliance Manual, and any updates thereto issued by Licensor during the term. 5.2 Licensee shall not deliver the Program, in whole or in part, through any uncertified facilitator. All facilitation must be performed by individuals who have completed the Do the Thing Facilitator Certification and maintain current certification status.

Page 24 5.3 Licensee acknowledges that failure to meet delivery standards may result in participant complaints, brand damage, and grounds for termination of this Agreement. 6. CONFIDENTIALITY 6.1 Each party agrees to maintain in confidence all non-public information received from the other party in connection with this Agreement, including but not limited to, pricing, financial terms, curriculum content, client lists, and business strategies ("Confidential Information"). 6.2 Confidential Information may not be disclosed to third parties without the prior written consent of the disclosing party, except as required by law or court order, and shall be used solely for the purposes of this Agreement. 6.3 This confidentiality obligation shall survive termination of this Agreement for a period of five (5) years. 7. NON-COMPETE & NON-SOLICITATION 7.1 During the term of this Agreement and for a period of two (2) years following termination for any reason, Licensee shall not develop, own, operate, or participate in any leadership training program or certification system that is substantially similar to the Do the Thing Program and targets the same end market. 7.2 During the term and for one (1) year following termination, Licensee shall not directly or indirectly solicit any current or prospective clients, facilitators, or employees of Licensor or of other Do the Thing licensees with whom Licensee became acquainted through this Agreement. 8. TERMINATION 8.1 Either party may terminate this Agreement upon sixty (60) days written notice to the other party. 8.2 Licensor may terminate this Agreement immediately upon written notice in the event of: (a) Licensee's material breach that is not cured within thirty (30) days of written notice; (b) Licensee's insolvency, bankruptcy, or assignment for the benefit of creditors; (c) Licensee's unauthorized use or reproduction of Licensor IP; (d) Licensee's criminal conviction that Licensor reasonably determines reflects negatively on the Do the Thing brand.

Page 25 8.3 Upon termination for any reason, Licensee shall immediately: (a) cease all use of Do the Thing branding and Licensor IP; (b) return or destroy all Licensor materials in Licensee's possession; (c) remove all Do the Thing references from Licensee's website, social media, and marketing materials; (d) cease issuing Do the Thing certifications; and (e) pay all outstanding royalties and fees within thirty (30) days of termination date. 9. REPRESENTATIONS & WARRANTIES 9.1 Licensor represents and warrants that: (a) it has full authority to enter into this Agreement and grant the rights herein; (b) the Licensor IP does not, to the best of Licensor's knowledge, infringe the intellectual property rights of any third party. 9.2 Licensee represents and warrants that: (a) it has full authority to enter into this Agreement; (b) it will comply with all applicable federal, state, and local laws in connection with the delivery of the Program; (c) it maintains all required insurance coverage. 10. LIMITATION OF LIABILITY 10.1 IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY THEREOF. 10.2 Licensor's total aggregate liability to Licensee for any and all claims arising under this Agreement shall not exceed the total license fee paid by Licensee in the twelve (12) months preceding the claim. 11. GENERAL PROVISIONS 11.1 This Agreement, together with all attached Exhibits and Addenda, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous agreements, representations, and understandings. 11.2 This Agreement may not be amended or modified except by a written instrument signed by authorized representatives of both parties.

Page 26 11.3 This Agreement shall be governed by and construed in accordance with the laws of the state in which Licensor's principal place of business is located, without regard to conflicts of law principles. 11.4 Any dispute arising out of or in connection with this Agreement that cannot be resolved through good faith negotiation shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. 11.5 If any provision of this Agreement is held unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. OWNERSHIP ACKNOWLEDGMENT Licensee expressly acknowledges and agrees that all intellectual property used in or associated with the Do the Thing Program, including but not limited to curriculum, workbooks, slide decks, exercises, assessments, brand identities, certification marks, video content, marketing materials, SOPs, frameworks, and methodologies (collectively, the "IP Assets") are and shall at all times remain the exclusive property of Licensor. 2. LICENSEE OBLIGATIONS Licensee agrees to: (a) use the IP Assets solely as authorized under the Master License Agreement; (b) take all reasonable steps to protect the IP Assets from unauthorized disclosure or use; (c) promptly notify Licensor of any suspected infringement or misappropriation; (d) not attempt to reverse-engineer, copy, reproduce, or create derivative works from the IP Assets; (e) not register or attempt to register any element of the IP Assets in Licensee's name or any third party's name. 3. CONFIDENTIAL INFORMATION "Confidential Information" includes all non-public business information exchanged between the parties, including but not limited to: pricing, client identities, financial data, curriculum content, proprietary methodologies, trade secrets, and any information marked "Confidential." This obligation survives termination for five (5) years. 4. DATA PROTECTION Licensee agrees to comply with all applicable data protection laws in connection with the Program, including proper handling of participant personal data. Licensee shall not use

Page 35 ARTICLE 9 — AUDIT RIGHTS Licensor reserves the right to audit Licensee records. Audits may be conducted: • Annually, as a standard compliance review • Upon reasonable suspicion of underreporting • Prior to renewal of the Master License Agreement • Following the identification of any compliance concerns Licensor shall provide at least fifteen (15) days written notice prior to conducting any audit. ARTICLE 10 — AUDIT PROCEDURES During any audit, Licensee shall provide access to: • All financial records related to licensed program activity • Accounting software reports • Certification and participant records • Attendance records • All supporting documentation for deductions or exclusions claimed Audits may be conducted remotely or in person at Licensor's discretion. Licensee shall cooperate fully and produce requested records within five (5) business days of the audit notice. ARTICLE 13 — DIGITAL REPORTING SYSTEMS Licensor may require the use of approved reporting software or platforms. Licensee agrees to adopt any Licensor-designated reporting system within sixty (60) days of notice, and to provide all information necessary for reporting and compliance purposes through such systems. ARTICLE 14 — CONFIDENTIALITY OF FINANCIAL INFORMATION All financial information exchanged or obtained through the reporting and audit process shall be maintained as Confidential Information by both parties and shall not be disclosed to third parties except as required by law, regulation, or court order. ARTICLE 15 — DISPUTED CALCULATIONS Any disputed royalty calculation must be submitted to Licensor in writing within thirty (30) days of the report in question. During any dispute, the undisputed portion of the royalty shall remain payable by the due date. Disputes shall be resolved through the process outlined in the Master License Agreement. ARTICLE 16 — SURVIVAL All reporting obligations and audit rights under this Agreement shall survive the termination or expiration of any and all licensing agreements between the parties for a period of five (5) years. ARTICLE 17 — ACKNOWLEDGMENT Licensee acknowledges that accurate and timely reporting is essential to protecting the integrity of the Do the Thing License Program licensing network. Failure to comply with reporting requirements may result in suspension, loss of exclusivity, or termination of all license agreements.

RESERVED RIGHTS OF LICENSOR Licensor retains the following rights regardless of this exclusivity grant: • Operate nationally and internationally • Conduct virtual and online training programs with participants anywhere, including within the territory • Maintain and develop national accounts directly • Develop new programs, certifications, and product lines at any time • Enter into strategic partnerships at the national or international level • Sell products outside the defined territory without restriction • Support existing national clients who may operate within the territory 5. REPORTING REQUIREMENTS Regional Partner shall provide quarterly reports containing the following, due within fifteen (15) days following the close of each calendar quarter: • Revenue generated from licensed program activity • Programs delivered and certifications awarded • Marketing activities conducted during the quarter • Strategic partnerships established or in development • Pipeline summary and projected activity for the following quarter 10. PROTECTED TERRITORY Licensor shall not grant another Regional Partner License within the designated territory while this Agreement remains active and Regional Partner is in compliance with all terms. Exclusivity applies only to authorized Do the Thing License Program certification and training activities. 11. NATIONAL ACCOUNTS National or multi-state organizations may be served directly by Licensor regardless of territory. Whenever practical and appropriate, Licensor may involve Regional Partner in delivery opportunities within their territory. Compensation arrangements for Regional Partner participation in national account delivery shall be determined separately and documented in writing. 12. FAILURE TO PERFORM If Regional Partner fails to meet minimum performance standards, the following phased process shall apply: Phase Action Phase 1 — Written Notice Licensor issues formal written notice of underperformance within 30 days of identifying deficiency Phase 2 — Corrective Action Plan Regional Partner submits written Corrective Action Plan within 30 days of notice

TRANSFER OF TERRITORY Regional Partner may not assign, transfer, sell, or otherwise convey territorial rights to any third party without prior written approval from Licensor. Any approved transfer shall require the execution of new licensing agreements by all parties. Unauthorized transfer shall result in immediate termination of territorial exclusivity. 14. TERRITORY EXPANSION Regional Partner may request additional territory after demonstrating consistent performance for a minimum of twelve (12) months. Approval of expansion shall be based upon: • Performance history and compliance standing • Market demand and strategic fit • Licensor's assessment of organizational capacity • Availability of the requested territory Additional fees shall apply to any territory expansion and shall be documented in a Territory Expansion Addendum. 15. TERM The term of this Agreement shall run concurrently with the Master License Agreement. Exclusivity shall automatically terminate upon expiration or termination of the Master License Agreement, without further notice required. 16. TERMINATION OF EXCLUSIVITY Licensor may terminate territorial exclusivity, with or without terminating the underlying license, for any of the following:

ACKNOWLEDGMENT Regional Partner acknowledges that exclusivity is a privilege earned through ongoing performance and compliance — not a permanent entitlement. Regional Partner further acknowledges that all Do the Thing intellectual property remains the sole property of Licensor at all times. PROFESSIONAL CONDUCT Licensee agrees to maintain the highest standards of professional conduct in all activities associated with the Do the Thing License Program, including: • Treating all participants, clients, and partners with dignity and respect • Delivering program content with accuracy, competence, and integrity • Accurately representing credentials, certifications, and program outcomes • Maintaining confidentiality of participant information • Promptly disclosing any conflicts of interest to Licensor 3. BRAND STANDARDS COMPLIANCE Licensee agrees to: • Use the Do the Thing name, logos, and marks only as authorized and in accordance with the Brand Standards Guide • Submit all new marketing materials for approval before first public use • Remove or revise any non-compliant materials within 72 hours of notice from Licensor • Not alter, distort, or use the Do the Thing mark in any manner not expressly approved • Not create derivative marks, co-brands, or combined marks without prior written approval

REPORTING ETHICS CONCERNS Licensee agrees to promptly report to Licensor any ethics concerns involving other licensees, facilitators, or participants that come to Licensee's attention. Page 53 Appendix E: Frequently Asked Questions for New Licensees Q: Can I use the Do the Thing name independently, outside of this license? No. Use of the Do the Thing name, logo, or certification marks is authorized only within the scope of this license and only for the purposes defined in the Master License Agreement. Q: Can I train other facilitators within my organization without a Master Trainer License? No. Only licensed Master Trainers may certify additional facilitators. If your organizational license includes multiple facilitators, each must be certified directly through Licensor or through an authorized Master Trainer. Q: What happens if I need to pause my business temporarily? Contact your Program Manager immediately. In cases of hardship, a temporary hold may be granted at Licensor's discretion. All financial obligations continue during any hold period unless expressly waived in writing. Q: Can I customize the curriculum for specific industries? Minor customization of examples, case studies, and discussion prompts is permitted within brand guidelines. Core curriculum content, methodology, and framework structure may not be altered without prior written approval from Licensor. Q: What if a participant disputes their certification? All certification disputes must be escalated to the Program Manager. Licensor maintains final authority on all certification decisions. Document all participant completion records and assessments for a minimum of three (3) years. Q: How do I renew my license? Submit a written renewal request to your Program Manager no later than 60 days before your license expiration date. Renewal is subject to compliance review and payment of the annual renewal fee.
