PREPARED BYA Guide to Our Construction Services Celebrating 45 Years
Our construction services were built on a simple idea. Do the work the right way and let the results speak for themselves. Since 1981, that mindset has shaped our growth and established us as a trusted construction partner throughout Delaware and the surrounding region. Over the years, our portfolio has expanded alongside our capabilities, allowing us to support a wide range of commercial, industrial, and specialty projects. While tools, technologies, and project demands have evolved, our core values have remained consistent. This booklet offers a snapshot of our experience, highlighting representative projects and the expertise behind them. Each one reflects a commitment to quality, safety, and collaboration that continues to define our construction team. We are proud of our 45-year history and energized by the opportunities ahead. We look forward to building what comes next together.John Nocket Dear_________,Name: John Smith Position: Vice President Organization: Demo OrganizationRequest for Proposal: Construction of science facilityProposing Firm: Emory Hill & CompanyPoint of Contact: John Nocket 302-322-9500 johnnocket@emoryhill.comINTRODUCTIONA BRIEF

Investment Cap Rate Market SECTION 2 8
INVESTMENT CAP RATE MARKETINVESTMENT CAP RATE MARKET Why Investors Continue to Target the Mid-Atlantic The Mid-Atlantic remains one of the nation's most active markets for credit-tenant and net-leased investments. Its concentration of established financial institutions, Fortune 500 companies, healthcare systems, and logistics operators continues to attract private investors, institutional capital, REITs, and 1031 exchange buyers seeking stable, long-term income. With direct access to major metropolitan areas including Philadelphia, Baltimore, Washington, D.C., and New York City, the region offers a large, diverse economy supported by strong transportation infrastructure and an active investment market. These fundamentals continue to drive demand for well-located assets backed by long-term leases and high-quality tenants. Current Investment Market Trends Strong Demand for Net-Leased Assets Properties leased to creditworthy tenants continue to attract significant investor interest, particularly among 1031 exchange buyers seeking stable income and long-term cash flow. Industrial Remains a Preferred Asset Class Warehouse, logistics, and flex properties continue to benefit from Delaware's proximity to I-95, the Port of Wilmington, and major East Coast population centers. Private Capital Remains Active While institutional investors remain selective, private investors continue to pursue opportunities throughout Delaware, particularly for assets offering stable occupancy and value-add potential. Location and Tenant Quality Drive Pricing Assets with strong tenant credit, long lease terms, and desirable locations continue to command the most competitive cap rates. 9 *Investors are purchasing long-term cash flow, not buildings.
CASE STUDY | SALE-LEASEBACK | NNN LEASE STRUCTUREINVESTMENT CAP RATE MARKET Fulton Bank Portfolio PA, NJ, DE, MD | 2024 Portfolio of 40 branch locations regionally Sale price: $55.4 million Buyer: Blue Owl Capital 15-year initial lease term Triple net lease structure 2.25% annual rent escalations Approximate portfolio cap rate: 7.94% In 2024, Fulton Bank completed a $55.4 million sale-leaseback portfolio transaction involving 40 branch locations across Pennsylvania, New Jersey, Delaware, and Maryland. The transaction featured a 15-year triple net lease structure with annual rent escalations and achieved a reported pro forma cap rate of 7.94%. Transaction Snapshot: Transaction Structure Own Branches: Fulton Bank owned 40 retail branch locations. Sale-Leaseback: Sold the portfolio to Blue Owl Capital. Capital Unlocked: Generated $55.4M of proceeds to redeploy into strategic initiatives. Continued Occupancy: Fulton Bank continues to operate all locations under a long-term lease. 10
Capital Redeployment / How WSFS Can Deploy $80+ Million SECTION 3 11
CAPITAL REDEPLOYMENT BENEFITS | WSFS For financial institutions, real estate is often one of the largest non-core assets on the balance sheet. While branch properties can appreciate over time, they typically generate far lower returns than capital deployed within the bank's core business. A sale-leaseback allows WSFS to unlock the value tied up in owned real estate while maintaining uninterrupted operations at existing branch locations. The proceeds can then be redeployed into strategic initiatives that support growth, profitability, and long-term shareholder value. Potential Uses of Redeployed Capital Improving Capital Efficiency: The opportunity is not simply to monetize real estate. It is to evaluate whether capital tied up in owned branch properties could generate greater value elsewhere within the organization. 12CAPITAL REDEPLOYMENT / HOW WSFS CAN DEPLOY $80+ MILLION Support Loan Growth: Capital generated through a sale-leaseback can be redirected into commercial, consumer, SBA, or construction lending, allowing the bank to expand its lending portfolio and generate additional revenue. Invest in Technology and Digital Banking: As customer expectations continue to evolve, financial institutions are investing heavily in digital platforms, automation, cybersecurity, and enhanced customer experiences. Sale-leaseback proceeds can help fund these initiatives without requiring additional capital raises. Modernize the Branch Network: Many banks are reimagining the role of the physical branch, creating more efficient and advisory-focused environments. Redeployed capital can support branch renovations, relocations, or right-sizing efforts across the portfolio. Pursue Strategic Growth Opportunities: Additional liquidity can provide flexibility for acquisitions, market expansion, talent recruitment, or other initiatives that strengthen the bank's competitive position. By converting illiquid real estate assets into deployable capital, WSFS can increase financial flexibility while continuing to operate from the locations that best serve its customers and communities.
BALANCE SHEET OPTIMIZATION | WSFS While recent accounting standards have changed how lease obligations are reported, sale-leaseback transactions continue to offer meaningful benefits for organizations seeking greater capital flexibility. By converting owned real estate into leased facilities, WSFS can shift capital from non-core real estate holdings into assets and initiatives that directly support its banking operations and long-term growth strategy. Potential Benefits Enhanced Capital Flexibility: Unlocking capital tied up in owned real estate provides additional financial flexibility to support lending activities, technology investments, branch modernization, and other strategic priorities. Focus on Core Operations: A sale-leaseback allows the bank to maintain occupancy and operational control of its branch locations while reducing the need to allocate capital toward real estate ownership. More Predictable Occupancy Costs: Long-term lease structures can provide greater certainty around occupancy expenses, making budgeting and long-range planning more straightforward. Portfolio Optimization: As banking continues to evolve, a sale-leaseback can be part of a broader strategy to align the branch network, capital allocation, and real estate portfolio with the institution's future goals. Today's sale-leaseback transactions are less about removing assets from the balance sheet and more about improving capital efficiency. The opportunity lies in evaluating whether capital currently invested in owned real estate could create greater value when deployed elsewhere within the organization. 13CAPITAL REDEPLOYMENT / HOW WSFS CAN DEPLOY $80+ MILLION
